Overview

This role is a key contributor to the organization’s legal oversight by performing complex legal projects, advising leadership on a variety of legal issues related to the growth of the business.  With the CLO and other members of the legal department, the VP Legal will provide counseling on strategic and major business initiatives and decisions of importance to the company and, as appropriate, contribute to the corporate strategy planning process, as well as provide oversight and legal expertise with respect to key transactions, intellectual property, advertising / media / public relations, technology transactions corporate and data privacy. Responsibilities include both ongoing duties and specific projects as assigned.

Responsibilities

Intellectual Property Management:

Provide day-to-day advice to the business on all intellectual property matters, including adoption and use of trademarks and copyrights. In connection with outside counsel, manage I.P. portfolio and all I.P.-related actions (i.e., trademark / patent / copyright infringement claims – including trademark prosecutions and litigation). Conduct and analyze trademark searches for worldwide trademark clearance and draft memoranda to the business and senior management concerning trademark search results. Conduct I.P. due diligence as necessary for new collections and strategic projects to assess protectability and defensibility of prospective I.P. Investigate and analyze potential I.P. infringements (particularly trademark infringements). Provide advice to the business concerning I.P. infringements and take action (draft cease and desist letters, negotiate with third parties, etc.). Train personnel and develop guidelines and best practices relative to I.P. legal issues. Support the Company’s protection of I.P. assets.

 

Advertising / Digital Media / Public Relations Support:

Advise on all aspects of advertising / media / public relations legal issues, including: claim substantiation, proper I.P. use, endorsement / sponsorship disclosures, right of publicity, media usage rights, for-cause marketing and third party I.P. clearance, etc. Draft and/or negotiate various media and PR contracts, including advertising and media agency agreements, sponsorships, endorsements, co-promotions, brand ambassador, influencer agreements, digital campaigns, etc.


Global Data Privacy Matters:

Assist in the management of global data privacy related projects, including regulatory research and analysis, contract drafting, review and negotiations, and providing advice concerning collection and use of Customer Relationship Management and employee data.


Litigation:

Manage outside counsel representing the company and its affiliates in the U.S. and internationally, in defense of claims asserted in a legal forum, including but not limited to civil courts, tribunals, and agencies. Investigate and respond to charges asserted by U.S. state and federal agencies, including but not limited to the FTC, NAD, State Departments of Consumer Affairs and other similar agencies.


Regulatory and Legal Matters

Advise on attendant regulatory matters, FTCA, FTC endorsement / social media guidelines, hallmarking, consumer-facing country of origin requirements and other similar regulatory and compliance matters.


Qualifications

·             Juris Doctorate degree from accredited law school with a strong academic record.

·             Admission to TN or other state bar

·             7 or more years of professional experience with a law firm and/or in-house corporate legal department focusing on intellectual property / advertising / data privacy.

·             Some in-house experience in a retail environment preferred.

·             Experience representing clients in the restaurant industry a plus, but not a requirement.

·             Computer literacy: Word, Outlook, Excel

·             Outstanding writing and communication skills

·             Outstanding organization and prioritization skills

·             Excellent negotiation and research skills

·             Comfortable in a matrix-based organization with the ability to lead and influence even without directly-assigned supervisorial duties.
